SUPPLIER CODE OF CONDUCT

This code sets out the acceptable sustainability and ethical values of suppliers, contractors, and service providers while providing goods and services to the YTL PowerSeraya group:

INTRODUCTION

  1. YTL PowerSeraya Pte. Limited is a wholly-owned subsidiary of YTL Power International Berhad (which is listed on the Bursa Malaysia Berhad).
  2. The YTL PowerSeraya Group (“YTLPS” or “We”), which includes YTL PowerSeraya Pte. Limited and its three wholly-owned subsidiaries*, is Singapore’s leading integrated energy solution provider. With a licensed generating capacity of 3100 MW, YTLPS is one of Singapore’s largest electricity generators and electricity retailers under the Geneco brand. YTLPS also provides multi-utility services such as steam and potable water to meet its customers’ diverse energy and resource needs.

VISION AND MISSION

  1. As a leading integrated energy solution provider in Singapore, we recognise our actual and potential impact to the environment and the community that we operate in.
  2. We are committed to our 60:30 vision to reduce 60% of our direct emissions by 2030 from 2010 levels.
  3. It is also our ambition to achieve net zero emissions and pursue a sustainable value chain by 2050. This drives our mission to be stewards of the environment, enrich society, and govern our business responsibly.

SCOPE AND APPLICATION

  1. YTLPS is committed to building a sustainable business that creates long-lasting financial value for all our stakeholders and upholds our business ethics and integrity towards the environment and society.
  2. YTLPS will partner with companies that share our sustainability and ethical values, and work with all Suppliers to maintain a resilient and sustainable supply chain.
  3. A “Supplier” refers to any individual or business that supplies goods or services to YTLPS and includes all employees, subcontractors, agents and other representatives who act on behalf of the Suppliers (individually a “Representative” and collectively, the “Representatives”).
  4. A “Key Supplier” refers to any individual or business that supplies more than S$100,000 worth of goods and services annually for at least 12 consecutive months.
  5. We recognise that, while all our Suppliers are independent parties, their business conduct and actions have a potential impact on YTLPS. Therefore, we expect all our Suppliers to adhere to the standards of conduct set out in this Supplier Code of Conduct (this “Code”).
  6. This Code shall be published on the YTLPS corporate website. Where further clarification is needed, YTLPS shall provide guidance on this Code. YTLPS shall monitor the implementation of this Code to maintain its relevance, monitor compliance, and drive continuous improvement.
  7. A failure by a Supplier to comply with this Code may result in legal action, disclosure of any legal violation to the appropriate government or regulatory authority and/or termination of YTLPS’ business relationships with that Supplier, depending on the level of disruption caused to YTLPS’ supply chain and direct impact to YTLPS’ reputation (as will be determined in YTLPS’ sole discretion).
  8. For avoidance of doubt, this Code does not represent a complete set of the Suppliers’ obligations and requirements. All Suppliers must comply with all applicable laws and regulations, this Code, and the Suppliers’ respective contractual obligations with YTLPS.
  9. This Code does not create any binding obligation on YTLPS, and we reserve the right to amend this Code from time to time. The latest version of this Code can be found on the YTLPS corporate website.

NON-COMPLIANCE

  1. If YTLPS becomes aware that this Code is not being effectively applied or complied with by a Supplier, YTLPS shall notify the Supplier of such non-compliance and request that the Supplier remedy the non-compliance within a reasonable time period. YTLPS may, where practicable and on a reasonable endeavours basis, work with that Supplier to remedy the issues leading to the non-compliance. YTLPS reserves the right to suspend any and all of its contracts with that Supplier until issues have been resolved and satisfactory progress has been made (as may be determined in YTLPS’ sole discretion).
  2. However, YTLPS expects that there will be situations where non-compliance with this Code cannot be resolved despite remediation efforts by the Supplier. Therefore, YTLPS reserves the right to discontinue its business relationship with a Supplier if YTLPS assesses (in its sole discretion) that (i) there is continued non-compliance, or repeated instances of non-compliance, with this Code by the Supplier; and/or (ii) the Supplier is unable to remedy the issues leading to the non-compliance with Code; and/or (iii) the extent of non-compliance is severe or constitutes a breach of any applicable law. In making its assessment, YTLPS will give serious consideration to all relevant factors, including whether the non-compliance with this Code by the Supplier caused a material disruption in YTLPS’ supply chain or has a negative impact on YTLPS’ reputation.

REPORTING CONCERNS

  1. Anyone who wishes to report a possible violation or breach of this Code that may disrupt the supply chain and/or affect the integrity of YTLPS, may do so via their usual YTLPS point of contact.
  1. Should anyone feel that they are unable to do so via their usual YTLPS point of contact, in accordance with YTLPS’ Whistle-Blowing Policy, a report may be made as per the following steps:

    18.1 Send an email to whistleblow@pseraya.com.sg; and/or

    18.2 Send a memo or letter documenting the full details of the case, in a sealed envelope, addressed to the Legal and Sustainability Departments, at the following address:

  1. We expect Suppliers to ensure that there will be no retaliation against any employees or subcontractors who make any such reports in good faith.

LAWS AND REGULATIONS

  1. Suppliers shall comply with all applicable laws and regulations in Singapore as well as the countries where they operate. The regulations shall include, but not be limited to, labour and employment laws, health and safety regulations and environmental laws. Suppliers shall conduct their business and operations according to applicable laws and regulations, ensure that their financial and business records are correctly and accurately maintained, and ensure that fair competition is practiced.

ETHICAL PRACTICES

  1. Conflict of Interest

    21.1 Suppliers shall promptly disclose any actual or potential conflict of interest between a Supplier and YTLPS or any Representative and YTLPS.

    21.2 For example, in a situation where a Supplier’s employee has a personal relationship or financial or other interest with an employee of YTLPS that could potentially interfere with existing obligations or any exercise of judgement or decision making for YTLPS, the Supplier shall promptly disclose information relating to such relationship or interest to YTLPS.

  2. Anti-Bribery and Corruption

    22.1 All Suppliers shall ensure that all their business dealings with YTLPS are conducted with integrity, honesty and transparency.

    22.2 All Suppliers shall refrain from offering, promising, giving, demanding or receiving anything of value in the forms of bribes, kickbacks and/or any other improper gratification (including gifts, hospitality and entertainment) to YTLPS’ directors, officers, employees, and representatives to induce, obtain or retain an inappropriate or unfair business advantage or otherwise, improperly influence decision making at any level.

  3. Anti-Money Laundering

    23.1 All Suppliers shall comply with all applicable anti-money laundering laws and refrain from engaging in any money laundering activity or business that directly or indirectly conceals the identity of the proceeds of illegal activities or converts the unlawful proceeds to legitimate sources of income or assets.

  4. Privacy and Data Protection

    24.1 In performing business with YTLPS, our Suppliers may have access to and may collect, use, handle, and/or process the personal data of individuals. All our Suppliers shall respect and be committed to protecting such personal data and the privacy of the relevant individuals in accordance with the Personal Data Protection Act 2012, and any other applicable personal data protection law or regulations.

    24.2 Suppliers shall seek written consent from YTLPS prior to any use, disclosure, or transfer of personal data received from YTLPS.

    24.3 Suppliers may also come across YTLPS’ proprietary and confidential information while carrying out contractual obligations with YTLPS. These Suppliers shall exercise the highest standard of care to protect such information and (if applicable) in accordance with the provisions of any non-disclosure agreement which these Suppliers may have entered into with YTLPS. Subject to the terms of any applicable non-disclosure agreements, these Suppliers shall not disclose any YTLPS’ proprietary and confidential information without obtaining the prior approval in writing from YTLPS. Approvals will only be given if the disclosure is needed for compliance with applicable laws and/or such disclosure is reasonably necessary for carrying out their contractual obligations with YTLPS.

    24.4 The obligations under this section remain effective even after the termination of any and all of YTLPS’ business relationships with the Supplier.

HUMAN RIGHTS AND EMPLOYMENT PRACTICES

  1. All Suppliers shall abide by the UN Guiding Principles on Business and Human Rights and maintain a non-discrimination policy, which values, and respects their employees’ diversity, cultural, and religious differences.
  2. All Suppliers shall not engage in any form of child labour and forced or compulsory labour practices throughout their business activities.
  3. All Suppliers shall comply with existing employment laws and regulations and abide by fair and progressive employment practices. All Suppliers shall pay fair and reasonable wages in line with the Employment Act 1968 and ensure that working hours do not exceed the maximum set by national laws and regulations.
  4. All Suppliers shall aim to attain the right to audit their suppliers to assess the working conditions and extent to which workers’ labour rights are being upheld. Audit records of the Suppliers’ supply chain shall be made accessible upon request by YTLPS.

WORKPLACE SAFETY AND HEALTH

  1.  All Suppliers are required to prevent and manage safety and health risks associated with their activities, products and services.
  2. All Suppliers shall comply with workplace safety and health regulations based on legal requirements and recognised standards / guidelines / codes / best practices as well as any YTLPS Safety and Health requirements which YTLPS may notify Suppliers from time to time.
  3. All Suppliers are recommended to consistently enhance their workplace safety and health management system by achieving certification under recognized safety and health management standards.
  4. All Suppliers shall implement training programme(s) to ensure that their workers are adequately trained on safety and health issues that are relevant to their job responsibilities and safety obligations.
  5. All Suppliers shall provide occupational health services to their workers to ensure safety and well-being. Where accommodation is required to be provided to workers, the Suppliers shall ensure that the accommodation is clean, safe, and meets the basic needs of the workers and where appropriate, their families.
  6. All Suppliers shall commit to supply quality goods and services that meet the needs of YTLPS and shall comply with applicable regulations and voluntary codes concerning the safety and health impact of their products and services.

ENVIRONMENT

  1. All Suppliers shall commit to environmental stewardship and work towards minimising their environmental impact in their operations and supply of goods and services.
  2. All Suppliers shall commit to energy-efficient measures and monitor their energy consumption from both renewable and non-renewable sources.
  3. All Key Suppliers shall implement the Greenhouse Gases (“GHG”) Protocol in their emissions monitoring and reduction process and account for its scope 1,2 and/or 3 emissions.
  4. Where applicable, Suppliers shall commit to efficient water management, monitor their water withdrawal and consumption and ensure that discharged water quality complies with environmental regulations. Further, Suppliers shall consider implementing circularity measures to minimise waste generation, improve resource recovery and work towards sustainable waste management.

ACKNOWLEDGEMENT

  1. Through execution of the relevant contract and/or acceptance of the relevant purchase order, each Supplier confirms that its operations are aligned with the requirements stipulated in this Code and agrees to furnish relevant data and documents, in an honest and transparent manner, during annual audits by YTLPS to ensure continued adherence to this Code.
  2. Any changes in this Code will be updated on the YTLPS corporate website.
